Terms of Service

Welcome to Rival Sonar, a software product developed and maintained by Rival Sonar Ltd. ("we", "us", or "our"). By accessing or using Rival Sonar ("Software"), you ("User" or "you") agree to be bound by these Terms of Service ("Agreement"). If you do not agree to the terms within this Agreement, please do not use or access the Software.
1. Use of Software
Rival Sonar is provided to you under a limited, non-exclusive, non-transferable, and revocable license for personal, commercial, or educational use, subject to the terms of this Agreement. Our Software is designed to help businesses track and analyze competitor information.
2. User Accounts
To access certain features of the Software, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
3. User Conduct
You agree not to use the Software in a manner that:
- Violates any local, state, national, or international law or regulation.
- Infringes on the rights of others, including but not limited to intellectual property rights.
- Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
- Attempts to gain unauthorized access to any portion of the Software or any other systems or networks connected to the Software.
- Uses automated means or scripts to access or collect data from the Software.
- Uses the Software to track competitors in ways that violate their terms of service or applicable laws.
4. Intellectual Property
All rights, title, and interest in and to the Software (excluding content provided by users) are and will remain the exclusive property of Rival Sonar Ltd. and its licensors. The Software is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Nothing in these Terms gives you a right to use the Rival Sonar name or any of the Rival Sonar trademarks, logos, domain names, or other distinctive brand features.
5. Termination
We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Software will immediately cease.
6. Disclaimer of Warranties
The Software is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will meet your specific requirements, be error-free, or operate without interruption.
7. Limitation of Liability
In no event shall Rival Sonar Ltd., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Software.
8. Indemnification
You agree to defend, indemnify and hold harmless Rival Sonar Ltd. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Software, or a breach of these Terms.
9. Modifications
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
